PLEASE READ THESE TERMS CAREFULLY. THEY GOVERN YOUR USE OF THE SERVICE AND CONTAIN IMPORTANT PROVISIONS, INCLUDING DISCLAIMERS, LIMITATIONS OF LIABILITY, AND A BINDING ARBITRATION AGREEMENT. BY USING THE SERVICE, YOU AGREE TO THESE TERMS.
1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a binding legal agreement between you (“you” or “User”) and ONCHAIN Labs Inc., a Texas corporation (“ONCHAIN,” “we,” “our,” or “us”). These Terms govern your access to and use of the ONCHAIN software orchestration platform, including the Universal Access Standard (UAS) gateway available at buy.uas.link, our marketplace at onchain.page, browser extensions, mobile and web interfaces, APIs, and any related services we offer (collectively, the “Service”).By accessing or using the Service, you (i) acknowledge that you have read and understood these Terms, (ii) agree to be bound by these Terms, and (iii) represent that you have the legal capacity to enter into these Terms. If you do not agree to these Terms, you must not access or use the Service.If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to both you individually and the entity you represent.
2. Definitions
- “Service” means the software orchestration platform operated by ONCHAIN, as described in Section 4 below.
- “UAS” or “Universal Access Standard” means the URL-based access protocol that enables one-tap purchase of digital assets across supported blockchains.
- “Payment Provider” means the independent, licensed third-party payment service provider that performs Know-Your-Customer (KYC) verification, Anti-Money-Laundering (AML) screening, fiat payment processing, foreign exchange conversion, and delivery of stablecoins or other digital assets in connection with transactions you initiate through the Service. The current Payment Provider is MoonPay or its affiliates.
- “Routing Protocol” or “Relay Protocol” means the decentralized smart-contract-based routing protocol used to execute on-chain swaps from intermediate stablecoins to target tokens on Path 2 transactions, as described in Section 4 below. ONCHAIN does not operate or control the Routing Protocol.
- “Clearance Protocol” means ONCHAIN's automated token security screening protocol applied to DEX-traded tokens on Path 2 transactions, as described in Section 5 below.
- “Authentication Provider” means the third-party authentication and embedded-wallet service used by the Service. The current Authentication Provider is Privy.
- “Recipient Wallet” means the cryptocurrency wallet address you designate as the destination for assets purchased through the Service.
- “Inventory Asset” means a digital asset (such as ETH, BTC, USDC, SOL, or other established assets) held in custodial inventory by the Payment Provider and deliverable directly from the Payment Provider's reserves to your Recipient Wallet.
- “DEX-Traded Token” means any digital asset that is not an Inventory Asset, generally a token traded on decentralized exchange liquidity pools.
3. Eligibility
To use the Service, you must meet all of the following requirements:
- You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction if higher.
- You must have the legal capacity to enter into binding contracts under applicable law.
- You must not be located in, ordinarily resident in, or a citizen of any country, region, or jurisdiction subject to comprehensive sanctions imposed by the United States Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, or other applicable sanctions authorities (currently including, without limitation, Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, the so-called Donetsk People's Republic, and the so-called Luhansk People's Republic).
- You must not be listed on any applicable sanctions list, including the OFAC Specially Designated Nationals and Blocked Persons List.
- You must not be located in any jurisdiction in which the Payment Provider does not support end-user transactions.
- Your use of the Service must comply with all applicable laws and regulations in your jurisdiction, including any restrictions on the purchase, ownership, or use of digital assets.
We reserve the right to refuse access to the Service to any User or in any jurisdiction at our sole discretion, including for compliance, regulatory, or risk-management reasons.
4. The Service — Software Orchestration
ONCHAIN provides a software orchestration platform that composes independent third-party services into a unified user experience for the purpose of allowing you to purchase digital assets. ONCHAIN itself does not provide financial services. Specifically:
4.1 ONCHAIN does not custody user funds.
At no point in any transaction does ONCHAIN hold, custody, or have access to your fiat currency or your digital assets. ONCHAIN does not control any private keys associated with your wallet or with any intermediate addresses used in transaction execution.
4.2 ONCHAIN does not perform KYC or payment processing.
All KYC verification, AML screening, fiat payment processing, foreign exchange conversion, and stablecoin or asset delivery is performed by the Payment Provider under its own regulatory licenses and authorizations. Your relationship with the Payment Provider for these services is governed by the Payment Provider's own terms and privacy policy.
4.3 ONCHAIN does not execute trades.
ONCHAIN does not operate an order book, matching engine, or market-making system. For DEX-Traded Tokens (Path 2), on-chain swap execution is performed by the Routing Protocol, a decentralized smart-contract system that operates autonomously based on the parameters you authorize at the order confirmation step. ONCHAIN has no discretion over execution timing, price, or routing decisions made by the Routing Protocol.
4.4 The Service operates in two paths.
The Service routes your transaction through one of two paths, determined automatically based on the asset you have requested:
- Path 1 — Inventory Asset purchases. If the asset you have requested is an Inventory Asset, the Payment Provider delivers the asset directly from its custodial inventory to your Recipient Wallet. Path 1 transactions do not involve the Routing Protocol or the Clearance Protocol.
- Path 2 — DEX-Traded Token purchases. If the asset you have requested is a DEX-Traded Token, ONCHAIN runs the Clearance Protocol to screen the token. If the token passes Clearance, the Payment Provider delivers USDC to a deposit address generated by the Routing Protocol. The Routing Protocol then executes a swap from USDC to the requested token and delivers the resulting token to your Recipient Wallet.
4.5 Your authorization.
You explicitly authorize ONCHAIN to orchestrate the transaction flow on your behalf based on the parameters you confirm at the order confirmation step, including the spend amount, requested asset, fee structure, and Recipient Wallet. ONCHAIN acts solely as your agent for the purpose of coordinating the Service. You retain control of and responsibility for your transaction instructions at all times.
5. Token Clearance Protocol
For Path 2 transactions (DEX-Traded Tokens), ONCHAIN applies an automated Clearance Protocol designed to screen tokens for known categories of token-design risk before any transaction is initiated. The Clearance Protocol evaluates tokens against parameters including, without limitation:
- Contract security: closed source contracts, mintable supply, hidden owner privileges, self-destruct functions, and similar contract-level risks.
- Trading security: honeypot characteristics, transfer-pausability, buy/sell tax thresholds, and similar trading-level risks.Malicious indicators: known phishing addresses, sanctioned addresses, fake KYC, money-laundering associations, and similar reputational risks.
- Liquidity thresholds: minimum liquidity depth on relevant DEX pools. Tokens that fail Clearance are not eligible for purchase through Path 2 and may be offered an alternative purchase path (such as the chain native token via Path 1).
Clearance is not investment advice.
The Clearance Protocol screens for known categories of technical risk only. A token passing the Clearance Protocol is not an endorsement, recommendation, or guarantee by ONCHAIN regarding the token's value, legitimacy, regulatory status, future performance, or suitability for any purpose. You are solely responsible for evaluating the merits and risks of any digital asset you purchase. See Section 11 (Risks and Disclaimers) below.
6. Account Registration and Authentication
To use certain features of the Service, you may be required to authenticate via the Authentication Provider. By authenticating, you agree to the Authentication Provider's terms and privacy policy. You are responsible for maintaining the confidentiality of your authentication credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to your account.
7. Recipient Wallet Designation
You designate the Recipient Wallet at the order confirmation step. You are solely responsible for ensuring that:
- The Recipient Wallet address you designate is correct and corresponds to a wallet that you control on the destination blockchain.
- The Recipient Wallet is compatible with the asset you are purchasing and the blockchain on which it will be delivered.
- The Recipient Wallet is not a smart contract or other address that cannot properly receive the requested asset.
Transactions are irreversible.
Once you confirm your order and the transaction is initiated, the transaction cannot be reversed or cancelled. If you designate an incorrect Recipient Wallet, or a Recipient Wallet on the wrong blockchain, or a Recipient Wallet you do not control, the assets delivered to that address may be permanently unrecoverable. ONCHAIN, the Payment Provider, and the Routing Protocol bear no liability for losses resulting from incorrect Recipient Wallet designation.
8. Fees
Your use of the Service may involve the following categories of fees, which are disclosed to you at the order confirmation step before you authorize the transaction:Payment Provider fees: fees charged by the Payment Provider for KYC, payment processing, foreign exchange conversion, and asset delivery. These are independent fees set by the Payment Provider.Network gas fees: blockchain transaction fees required to execute on-chain operations. These vary based on network conditions and are not controlled by ONCHAIN.Routing Protocol fees: fees charged by the Routing Protocol for executing on-chain swaps on Path 2 transactions, including any slippage between the quoted price and the executed price.ONCHAIN fee: a software service fee charged by ONCHAIN for orchestrating the transaction. The ONCHAIN fee is disclosed in the fee breakdown at the order confirmation step.All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
9. Quotes and Best-Effort Output
The output amount shown to you at the quote stage is a best-effort estimate based on market conditions at the moment of quote. For Path 2 transactions, the actual amount of the target token delivered to your Recipient Wallet is determined at the moment of on-chain execution and may differ from the quoted estimate. The Service displays a minimum-received floor at the order confirmation step; if the actual delivered amount would fall below the minimum-received floor due to market conditions, the Routing Protocol's slippage protection will cause the transaction to revert and trigger the refund flow described in Section 10.
10. Refunds and Failed Transactions
Refund handling depends on the stage at which a transaction fails:If the Payment Provider does not confirm payment, no funds are transferred and no refund is necessary.If the Payment Provider confirms payment but the Routing Protocol's swap execution fails (Path 2), the Routing Protocol returns the stablecoin to the Payment Provider via the refund destination configured at quote time. The Payment Provider is then responsible for issuing the corresponding fiat refund to you. Refund timing and policy are determined by the Payment Provider's terms.If the Payment Provider confirms payment and delivers the requested asset to your Recipient Wallet (Path 1), the transaction is complete and is not refundable except to the extent required by the Payment Provider's terms or applicable law.
11. Risks and Disclaimers
11.1 No investment advice.
ONCHAIN does not provide investment, financial, tax, or legal advice. Nothing on the Service constitutes a recommendation or endorsement to purchase any digital asset or to engage in any transaction. You are solely responsible for your transaction decisions.
11.2 Risks of digital assets.
Digital assets are highly volatile, may lose value rapidly or completely, and may be subject to regulatory, technical, market, and counterparty risks. Risks include but are not limited to: price volatility; loss of liquidity; smart contract bugs or exploits; bridge or routing protocol failures; blockchain network failures or congestion; loss of private keys; phishing, fraud, or theft; regulatory changes that may affect the legality of holding or transacting in digital assets; and total loss of value. You assume all such risks.
11.3 Third-party services.
The Service relies on independent third-party services (including the Payment Provider, the Routing Protocol, the Authentication Provider, and others). ONCHAIN does not control these third-party services and does not guarantee their availability, accuracy, or performance. Disruptions, outages, or failures of these third-party services may affect your ability to use the Service or complete transactions.
11.4 No warranty.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. ONCHAIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:ONCHAIN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.ONCHAIN'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL ONCHAIN FEES YOU HAVE PAID IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100).THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY UNDER WHICH ANY CLAIM IS ASSERTED (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ONCHAIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full. In such jurisdictions, ONCHAIN's liability is limited to the maximum extent permitted by applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless ONCHAIN and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Service; (ii) your breach of these Terms; (iii) your violation of any applicable law or the rights of any third party; or (iv) your designation of any Recipient Wallet or your transaction instructions.
14. Prohibited Activities
You agree not to:Use the Service for any unlawful purpose or in violation of any applicable law or regulation.Use the Service to evade sanctions, launder money, finance terrorism, or engage in any other prohibited financial activity.Attempt to circumvent the geographic restrictions, sanctions screening, or Clearance Protocol of the Service.Use automated means (bots, scrapers, etc.) to access the Service in a manner that interferes with its operation or violates these Terms.Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent expressly permitted by applicable law.Use the Service to facilitate fraud, abuse, or harm to any third party.Interfere with or disrupt the integrity or performance of the Service, including by introducing malware or attempting unauthorized access.
15. Intellectual Property
The Service, including all software, content, design, trademarks, logos, and other intellectual property, is owned by ONCHAIN or its licensors and is protected by applicable intellectual property laws. ONCHAIN grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works of the Service except as expressly permitted.
16. Termination
ONCHAIN may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including for violation of these Terms or for compliance, regulatory, or risk-management reasons. You may stop using the Service at any time. Sections of these Terms that by their nature should survive termination shall survive, including without limitation the disclaimers, limitations of liability, indemnification, and dispute resolution provisions.
17. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflicts of law principles.
17.1 Informal resolution.
Before initiating any formal dispute resolution, you agree to first contact ONCHAIN at legal@uas.link and attempt to resolve the dispute informally for at least sixty (60) days.
17.2 Binding arbitration.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Texas, and the arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
17.3 Class action waiver.
You and ONCHAIN agree that any arbitration shall be conducted solely on an individual basis, and not as a class, consolidated, or representative action. You waive any right to participate in a class action or class-wide arbitration.
17.4 Exceptions.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
18. Changes to These Terms
ONCHAIN may modify these Terms at any time. When we make material changes, we will update the Effective Date at the top of these Terms and provide additional notice as required by applicable law. Your continued use of the Service after the changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
19. Miscellaneous
Entire agreement: these Terms, together with the Privacy Policy and any other terms incorporated by reference, constitute the entire agreement between you and ONCHAIN regarding the Service.Severability: if any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.No waiver: ONCHAIN's failure to enforce any provision of these Terms is not a waiver of its right to do so later.Assignment: you may not assign or transfer your rights or obligations under these Terms without ONCHAIN's prior written consent. ONCHAIN may assign these Terms freely.No agency: nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and ONCHAIN, except as expressly stated in Section 4.5 (Your Authorization).Force majeure: ONCHAIN is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, natural disasters, government action, internet or telecommunications failures, or disruptions of third-party services.Notices: notices to ONCHAIN must be sent to legal@uas.link. Notices to you may be given by email to the address associated with your account or by posting on the Service.
